ORDER

On June 30, 2004, a class action settlement agreement ("June 30 Settlement") was reached between all parties in the ERISA Litigation with the exception of defendants Scott Sullivan and Merrill Lynch Trust Company, F.S.B. On July 2, Lead Plaintiffs in the ERISA Litigation filed a motion for an order preliminarily approving the June 30 Settlement, certifying a class, and setting a fairness hearing. It is hereby

ORDERED that a conference will be held on July 13, 2004, beginning at 3:00 p.m. at the United States Courthouse, 500 Pearl Street, New York, New York, in Courtroom 11B, to address these issues.

  IT IS FURTHER ORDERED that because of the June 30 Settlement, defendants' September 12, 2003 motion to dismiss the plaintiffs' Third Amended Consolidated Master Class Action Complaint is deemed moot. IT IS FURTHER ORDERED that because of the June 30 Settlement, plaintiffs' September 12, 2003 motion to certify a class action is deemed moot.
